NOVA Financial Holdings, Inc.
NOVA Financial Holdings Inc. is a registered bank holding company and is subject to regulation and
supervision by the Board of Governors of the Federal Reserve System. We were organized March 9, 2002, for the purpose of
acquiring USABancShares.com, Inc. ("USAB"). We acquired USAB in a merger, which was closed on October 31, 2002. Our primary activities are operating as a bank holding company for NOVA Bank, our wholly owned state-chartered savings bank, and for USA Capital Trust I, our statutory business trust.
NOVA Bank
NOVA Bank ("NOVA" or the "Bank") operates as a Pennsylvania state-chartered savings bank. The Bank is subject to
regulations of and is periodically examined by the Pennsylvania Department
of Banking and by the Federal Deposit Insurance
Corporation (the "FDIC"). The Bank has operated
as a community banking institution for more than 116 years and provides a
wide range of financial
products and services to the greater Philadelphia region. Through various delivery points, NOVA
offers
personal banking services, business banking services, financial planning, and wealth management services. These
services are offered directly through NOVA's subsidiary NOVA Financial
Services, Inc. and through NOVA affiliate partners.
NOVA Financial Services, Inc.
Formed in July 2003, NOVA Financial is a wholly-owned subsidiary of NOVA Bank and is a Pennsylvania corporation.
NOVA Financial - through an agreement with Uvest Financial Services - offers our customers access to a variety of investment,
insurance, and planning services, such as tax deferred annuities, life insurance products, mutual funds, tax planning,
financial planning, estate planning, and 401(k) plan administration.
NOVA Capital Trust
NOVA Capital Trust (formerly USA Capital Trust I) is a Delaware business trust that has issued $10.0
million of Trust Preferred Securities to the general public. The Trust is an unconsolidated affiliate of the Company and was formed in 1999 to sell Trust Preferred Securities.
